ABOUT VYRAL TV

Vyral TV is a streaming and digital media network operated by Asia’s Closet Angels.

Vyral TV may provide streaming programming, creator channels, video distribution, content-submission services, creator tools, promotional opportunities, monetization features, websites, applications, connected-TV experiences, and related services.

Vyral TV services may be available through Vyral TV websites, Roku and other connected-TV platforms, mobile or web experiences, third-party distribution platforms, and future supported technologies.

ACCEPTANCE OF THESE TERMS

By accessing or using Vyral TV, creating an account, purchasing a plan or service, or submitting content, you agree to be bound by these Terms and any policies or additional agreements that are expressly incorporated into them.

If you do not agree to the applicable terms, you should not use the applicable Vyral TV service.

If you use Vyral TV on behalf of a company, organization, artist, creator, production company, label, or other entity, you represent that you have authority to act on behalf of that entity.

VYRAL TV ACCOUNTS

Certain Vyral TV features require an account. You agree to provide accurate information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account to the extent reasonably within your control.

You should notify Vyral TV if you reasonably believe your account has been accessed without authorization.

Vyral TV may require verification of account information when reasonably necessary for security, payments, creator earnings, content rights, legal compliance, or account administration.

CREATOR ACCOUNTS & PLANS

Vyral TV may offer free and paid creator plans with different features, submission privileges, channel capabilities, promotional benefits, and other services.

Current plan descriptions, pricing, billing frequency, and included features will be presented through the applicable Vyral TV website, account, plan, or checkout page.

Free and paid creator accounts include unlimited eligible content submissions, subject to review and approval. Unlimited submissions do not mean unlimited storage or guaranteed acceptance, publication, distribution, promotion, or monetization. Submissions remain subject to technical requirements, content standards, reasonable platform limits, and Vyral TV review.

Vyral TV may add, modify, discontinue, or replace plans or features for future purchases or billing periods, subject to applicable law and any required notice.

CREATOR CHANNELS

Eligible creators may create or operate one or more Vyral TV channels subject to the applicable creator plan and channel requirements.

Each separately created channel may require its own applicable plan, channel fee, setup process, or approval.

Creation or purchase of a channel does not guarantee audience size, featured placement, views, subscribers, monetization, advertising revenue, or earnings.

Creators remain responsible for the content and information submitted through their channels.

CONTENT SUBMISSIONS

Creators may submit videos, shows, episodes, series, seasons, music videos, movies, podcasts, promotional materials, thumbnails, artwork, descriptions, and other supported content to Vyral TV.

Submitting content does not guarantee that the content will be accepted, published, distributed, promoted, featured, monetized, or retained by Vyral TV.

All submissions are subject to Vyral TV’s Content Submission & Distribution Agreement and applicable content requirements.

Creators retain ownership of content they lawfully own. Submission of content does not transfer ownership to Vyral TV.

CONTENT LICENSE & DISTRIBUTION

Content accepted for distribution is governed by the license granted through the applicable Vyral TV Content Submission & Distribution Agreement.

That license may allow Vyral TV to host, technically process, stream, distribute, display, promote, advertise, and monetize approved content through authorized Vyral TV distribution channels.

Vyral TV may use third-party hosting, storage, encoding, content delivery, analytics, streaming, payment, and distribution providers when reasonably necessary to operate its services.

CONTENT REVIEW & APPROVAL

Vyral TV may review submitted content for technical quality, programming suitability, content standards, rights concerns, advertiser requirements, platform requirements, and compliance with applicable Vyral TV policies.

Vyral TV may approve, reject, restrict, categorize, schedule, temporarily disable, or remove submitted content consistent with its agreements, policies, and legal obligations.

Vyral TV is not required to publish every submission received from a creator, including creators with paid plans.

CONTENT STANDARDS

Users and creators may not use Vyral TV to submit, upload, distribute, or promote content that violates applicable law or Vyral TV’s published content standards.

Prohibited content or activity may include:

• pornographic or sexually explicit material prohibited by Vyral TV policies;
• unauthorized copyrighted or pirated material;
• fraudulent, deceptive, or impersonating activity;
• unlawful threats or harassment;
• material that unlawfully violates privacy or publicity rights;
• malware or malicious technical content;
• content promoting unlawful activity in violation of applicable law;
• attempts to manipulate views, advertising, engagement, or earnings through fraudulent means; and
• other material prohibited by applicable Vyral TV policies.

Vyral TV may establish additional programming standards for specific categories, including family-friendly or youth programming.

COPYRIGHT & CONTENT RIGHTS

You may submit only content that you own or are legally authorized to submit and distribute.

You are responsible for obtaining required rights, permissions, licenses, releases, and clearances for music, recordings, video, images, artwork, trademarks, performances, participants, and other protected material included in your content.

Vyral TV may remove or restrict content when it receives a credible rights complaint or reasonably believes that the content may violate another party’s rights.

MINORS & PARENT/GUARDIAN CONSENT

Additional restrictions, verification, consent requirements, or account limitations may apply to children under age 13.

A parent or legal guardian who creates, authorizes, or manages an account for a minor is responsible for complying with applicable Vyral TV requirements relating to that minor’s participation.

MONETIZATION & CREATOR EARNINGS

Eligible creators may participate in Vyral TV monetization programs when approved and when applicable monetization features are available.

Creator earnings are governed by Vyral TV’s Creator Monetization & Revenue Terms and any additional written monetization agreement applicable to the creator.

Vyral TV does not guarantee revenue, earnings, views, subscribers, advertising demand, sponsorships, tips, or any fixed payment per view.

PAYMENTS & BILLING

Prices and billing terms for paid plans, channels, promotional services, and other purchases will be disclosed before purchase.

By purchasing a paid service, you authorize the applicable payment processor to charge the payment method you provide for amounts presented during checkout.

You are responsible for maintaining accurate billing and payment information.

Taxes, processing charges, or other amounts may apply where required or disclosed.

RECURRING PLANS & RENEWALS

If a Vyral TV plan is sold as a recurring subscription, the checkout process will identify the applicable billing frequency and recurring price.

Unless otherwise stated at checkout, recurring plans may continue until canceled in accordance with the applicable cancellation terms.

Cancellation generally prevents future renewal charges but does not automatically create a refund for amounts already paid, except where required by law or expressly provided by the applicable refund terms.

CANCELLATIONS & REFUNDS

Users may cancel eligible recurring services through the cancellation method provided by Vyral TV or its applicable payment provider.

Refund eligibility, if any, is governed by the refund terms disclosed for the applicable purchase and applicable law.

Cancellation of a creator plan may affect access to plan-specific features, submission privileges, channel features, promotional benefits, or other paid services after the applicable paid period ends.

CHANNEL PRO & PROMOTIONAL PLACEMENT

Vyral TV Channel Pro may include priority consideration for certain Vyral TV promotional or programming placements.

Priority consideration does not guarantee permanent placement, first position, a specific number of impressions, views, subscribers, engagement, or earnings.

Promotional positions may rotate among eligible creators or channels.

THIRD-PARTY SERVICES & PLATFORMS

Vyral TV may rely on third-party platforms and providers for services including streaming distribution, Roku or connected-TV distribution, hosting, storage, payments, analytics, email, security, advertising, and content delivery.

Third-party services may experience outages, technical limitations, policy changes, or other circumstances outside Vyral TV’s reasonable control.

Use of certain third-party services may also be subject to the provider’s own terms and policies.

AVAILABILITY OF SERVICES

Vyral TV may modify, maintain, update, suspend, discontinue, or replace features as reasonably necessary to operate and develop the service.

Vyral TV does not guarantee that every feature, channel, program, website, application, or distribution platform will be available at all times or in every location.

ACCOUNT SUSPENSION OR TERMINATION

Vyral TV may restrict, suspend, or terminate accounts or services when reasonably necessary because of material violations of these Terms, fraud, payment disputes, unauthorized content, security concerns, rights violations, abuse of the service, or applicable legal or platform requirements.

Where appropriate and reasonably practicable, Vyral TV may provide notice or an opportunity to address a violation before permanent termination.

NO GUARANTEE OF RESULTS

Vyral TV does not guarantee that use of its services will result in a particular number of viewers, subscribers, streams, sales, followers, sponsorships, opportunities, publicity results, or earnings.

Creator performance and audience response may vary substantially.

DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, Vyral TV services are provided on an “as available” basis without guarantees that the service will always be uninterrupted, error-free, or available through every distribution platform.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Vyral TV and its operators, affiliates, officers, employees, contractors, and authorized agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use Vyral TV services.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

INDEMNIFICATION

To the fullest extent permitted by applicable law, users and creators agree to defend, indemnify, and hold harmless Vyral TV and its operators, affiliates, officers, employees, contractors, and authorized agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from their material violation of these Terms, infringement of third-party rights, or submission of content they were not authorized to submit.

PRIVACY

Collection and use of personal information through Vyral TV is governed by the applicable Vyral TV Privacy Policy and other privacy notices presented in connection with particular services.

ELECTRONIC COMMUNICATIONS & AGREEMENTS

You agree that Vyral TV may provide agreements, notices, confirmations, disclosures, and other communications electronically where permitted by law.

Electronic acceptance, checkboxes, typed names, electronic signatures, and similar electronic actions may be used to document your agreement where appropriate.

CHANGES TO THESE TERMS

Vyral TV may update these Terms as its services, technology, programming, creator features, or legal requirements change.

Material changes will apply according to the updated terms and any notice or affirmative acceptance required by applicable law.

GOVERNING LAW

These Terms are governed by applicable federal law and, to the extent state law applies, the laws of the State of Georgia, without regard to conflict-of-law principles.

SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

ENTIRE AGREEMENT

These Terms, together with any policies, agreements, checkout terms, or additional terms expressly incorporated into them, constitute the applicable agreement concerning use of the relevant Vyral TV services.

Separate agreements, including the Content Submission & Distribution Agreement, Creator Monetization & Revenue Terms, Parent/Guardian Consent & Minor Release, Privacy Policy, and applicable payment or plan terms, may also apply depending on the services used.
